Terms of service

Last updated: October 21, 2026

From everyone at TierOne, thank you for using our products! We build them to help you become a better investor. Because we don’t know every one of our customers personally, we have to put in place some Terms of Service to help keep the ship afloat.

TierOne is a research and decision-tracking tool. It is not a broker, investment adviser or financial planner, and nothing in the Services is financial advice. Please read Not investment advice carefully.

Definitions

When we say “Company”, “TierOne”, “we”, “our”, or “us” in this document, we are referring to TierOne.

When we say “Services”, we mean our websites, including tierone.fund and demo.tierone.fund, and any product created and maintained by TierOne, including the TierOne application at app.tierone.fund, its agents, API and MCP server, whether delivered within a web browser, desktop application, AI assistant, or another format.

When we say “You” or “your”, we are referring to the people or organizations that apply for early access to, or own an account with, one or more of our Services.

When we say “Content”, we mean anything you or your users put into the Services, including theses, research notes, ideas, decisions, positions, trades, files and settings.

Changes to these Terms

We may update these Terms of Service (“Terms”) in the future. Typically these changes clarify some of these terms or reflect changes to the Services. Whenever we make a significant change to our policies, we will refresh the date at the top of this page and take any other appropriate steps to notify account holders.

When you use our Services, now or in the future, you are agreeing to the latest Terms. There may be times where we do not exercise or enforce a right or provision of the Terms; however, that does not mean we are waiving that right or provision. These Terms do contain a limitation of our liability.

If you violate any of the Terms, we may terminate your account. That’s a broad statement and it means you need to place a lot of trust in us. We do our best to deserve that trust by being open about how we work and keeping an open door to your feedback.

Eligibility

  1. You must be at least 18 years old, and of legal age to form a binding contract where you live, to use the Services.
  2. If you use the Services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf, and “you” includes that organization.
  3. You may not use the Services if you are barred from doing so under the laws of the United States or any other applicable jurisdiction.

Account Terms

  1. You are responsible for maintaining the security of your account and password and for ensuring that any of your users do the same. The Company cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  2. You may not use the Services for any purpose outlined in our Use Restrictions, and you may not permit any of your users to do so, either.
  3. You are responsible for all content posted to and activity that occurs under your account, including content posted by and activity of any users in your account, and actions taken by agents or integrations you connect to your account.
  4. You must be a human. Accounts registered by “bots” or other automated methods are not permitted. (Agents you run inside your own account under these Terms are fine.)
  5. You must provide accurate information when you apply for early access or sign up, and keep it up to date.

Early access and beta features

  1. Applying for early access does not guarantee access. We decide who receives early access and when, and we may limit, pause or end early access at any time.
  2. Early-access, alpha and beta versions of the Services are provided for evaluation. They may change significantly, contain bugs, lose data or be withdrawn without notice. Please keep your own records of anything important.
  3. If we offer free access during early access or to beta testers, we will tell you the terms of that offer when we make it. Unless we say otherwise in writing, free access may end and paid plans may be introduced in line with Payment, Refunds, and Plan Changes.

Not investment advice

  1. TierOne is a software tool that helps you organize your own research, record your own decisions and review your own results. TierOne is not a broker-dealer, investment adviser, financial planner, tax adviser or fiduciary, and is not registered as any of these with the U.S. Securities and Exchange Commission, FINRA or any state or foreign regulator.
  2. Nothing in the Services, including research, memos, ideas, scores, alerts, charts, examples, performance figures, model outputs or communications from us, is investment, financial, legal, tax or accounting advice, a recommendation, or an offer or solicitation to buy or sell any security or other financial instrument.
  3. You alone decide whether to make any investment and you are solely responsible for those decisions and their outcomes. Investing involves risk, including the loss of principal. Past performance, whether real, hypothetical, back-tested or illustrative, does not indicate future results.
  4. Examples, charts, sample portfolios and figures on our websites and in the demo are illustrative and are not real results.
  5. You should consult a qualified professional before making investment decisions.

AI-generated content and agents

  1. The Services use artificial intelligence, including models you choose to connect, to discover, summarize and analyse information and to draft research, proposals and other output (“AI Output”).
  2. AI Output can be inaccurate, incomplete, out of date or biased, and may present incorrect information confidently. You are responsible for reviewing AI Output and for any decision you make using it.
  3. Agents in the Services act within the limits you set. You are responsible for configuring those limits and for reviewing what agents propose. Agents do not place trades on your behalf.
  4. When you connect a third-party AI provider, your use of that provider is also governed by that provider’s terms, and content you send to it is processed by that provider.

Market data and third-party content

  1. The Services display prices, filings, news, social posts and other information from third-party sources. We do not create or verify that information and do not guarantee that it is accurate, complete or timely. Prices may be delayed.
  2. Third-party content remains the property of its owners and may be subject to their terms. You may not redistribute market data obtained through the Services except as those terms allow.
  3. Links to third-party websites are provided for convenience. We are not responsible for their content or practices.

Brokerage and account connections

  1. TierOne does not execute trades, hold funds or securities, or have custody of your assets. Trades you record are records only, unless you place them yourself with your broker.
  2. If you connect a brokerage, bank or data account, you authorize us to retrieve the information that connection makes available so the Services can display and analyse it. You can disconnect at any time. Your broker or provider is responsible for the accuracy of the data it provides.

Payment, Refunds, and Plan Changes

  1. If you are using a free version of one of our Services, it is really free: we do not ask you for your credit card and — just like for customers who pay for our Services — we do not sell your data.
  2. For paid Services that offer a free trial, we explain the length of trial when you sign up. After the trial period, you need to pay in advance to keep using the Service. If you do not pay, we will freeze your account and it will be inaccessible until you make payment. If your account has been frozen for a while, we may cancel it.
  3. If you are upgrading from a free plan to a paid plan, we will charge your card immediately and your billing cycle starts on the day of upgrade. For other upgrades or downgrades in plan level, the new rate starts from the next billing cycle.
  4. All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all taxes, levies, or duties.
  5. Refunds are handled case by case. If you think you have been charged in error, contact us.

Cancellation and Termination

  1. You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not automatically considered cancellation. If you need help canceling your account, you can always contact us.
  2. All of your content will be inaccessible from the Services immediately upon account cancellation. We will then permanently delete it from our active systems and, as backups expire, from our backups. We cannot recover this information once it has been permanently deleted. If you want to export any data, please do so before your account is canceled.
  3. If you cancel the Service before the end of your current paid up month, your cancellation will take effect immediately, and you will not be charged again. We do not automatically prorate unused time in the last billing cycle.
  4. We have the right to suspend or terminate your account and refuse any and all current or future use of our Services for any reason at any time. Suspension means you and any other users on your account will not be able to access the account or any content in the account. Termination will furthermore result in the deletion of your account or your access to your account, and the forfeiture and relinquishment of all content in your account. We also reserve the right to refuse the use of the Services to anyone for any reason at any time.
  5. Verbal, physical, written or other abuse (including threats of abuse or retribution) of a Company employee or officer will result in immediate account termination.

Modifications to the Service and Prices

  1. Sometimes it becomes technically impossible to continue a feature or we redesign a part of our Services because we think it could be better or we decide to close new signups of a product. We reserve the right at any time to modify or discontinue, temporarily or permanently, any part of our Services with or without notice.
  2. Sometimes we change the pricing structure for our products. When we do that, we tend to exempt existing customers from those changes. However, we may choose to change the prices for existing customers. If we do so, we will give at least 30 days notice and will notify you via the email address on record. We may also post a notice about changes on our websites or the affected Services themselves.

Uptime, Security, and Privacy

  1. Your use of the Services is at your sole risk. We provide these Services on an “as is” and “as available” basis. We do not offer service-level agreements, but do take uptime of our applications seriously.
  2. We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the Services. Of course, we’ll reach out to the account owner before taking any action except in rare cases where the level of use may negatively impact the performance of the Service for other customers.
  3. We take measures to protect and secure your data through backups, redundancies, and encryption. We enforce encryption for data transmission from the public Internet. If you believe you have found a security issue, please email us.
  4. When you use our Services, you entrust us with your data. We take that trust to heart. You agree that TierOne may process your data as described in our Privacy Policy and for no other purpose. We as humans can access your data for the following reasons:
    • To help you with support requests you make. We’ll ask for express consent before accessing your account.
    • On the rare occasions when an error occurs that stops an automated process partway through. When we can fix the issue and restart automated processing without looking at any personal data, we do. In rare cases, we have to look at a minimum amount of personal data to fix the issue.
    • To safeguard TierOne. We’ll look at logs and metadata as part of our work to ensure the security of your data and the Services as a whole.
    • To the extent required by applicable law. We only preserve or share customer data if compelled by a government authority with a legally binding order or proper request, or in limited circumstances in the event of an emergency request.
  5. We use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Services. Our Privacy Policy describes who they are.

Use Restrictions

You may not use the Services, or permit anyone to use them, to:

  1. break the law, including securities laws: for example, market manipulation, trading on material non-public information, or distributing false or misleading information about a security;
  2. provide investment advice or other regulated services to others in a way that requires a licence or registration you do not hold;
  3. access another customer’s data, or probe, scan or test the Services for vulnerabilities without our written permission;
  4. disrupt the Services, including through excessive automated requests, malware or attempts to bypass usage limits;
  5. scrape the Services, or copy or resell data, research or AI Output from them, except your own Content;
  6. reverse engineer the Services or use them to build a competing product;
  7. harass others, or upload content that is unlawful, infringing, or that you do not have the right to share.
  1. All content posted on the Services must comply with U.S. copyright law. If you believe content on the Services infringes your copyright, please email us with the details.
  2. You give us a limited license to use the content posted by you and your users in order to provide the Services to you, but we claim no ownership rights over those materials. All materials you submit to the Services remain yours.
  3. We do not pre-screen content, but we reserve the right (but not the obligation) in our sole discretion to refuse or remove any content that is available via the Service.
  4. The Company or its licensors own all right, title, and interest in and to the Services, including all intellectual property rights therein, and you obtain no ownership rights in the Services as a result of your use. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements without express written permission from the Company. You must request permission to use the Company’s logos or any Service logos for promotional purposes. We reserve the right to rescind any permissions if you violate these Terms.
  5. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Services, use of the Services, or access to the Services without the express written permission of the Company.

Feedback

If you send us ideas, suggestions or other feedback about the Services, you agree that we may use it without restriction or compensation to you.

Features and Bugs

We design our Services with care, based on our own experience and the experiences of customers who share their time and feedback. However, there is no such thing as a service that pleases everybody. We make no guarantees that our Services will meet your specific requirements or expectations.

We also test our features before shipping them. As with any software, our Services inevitably have some bugs. We track the bugs reported to us and work through priority ones, especially any related to security or privacy. Not all reported bugs will get fixed and we don’t guarantee completely error-free Services. Figures in the Services, including returns and attribution, are computed from the records and prices on file and can be wrong. Check them before you rely on them.

API, MCP and Integration Terms

We offer an Application Program Interface (“API”) and a Model Context Protocol (“MCP”) server for the Services. Any use of the API or MCP server, including through an AI assistant or a third-party product that accesses the Services, is bound by these Terms plus the following specific terms:

  1. You expressly understand and agree that we are not liable for any damages or losses resulting from your use of the API, the MCP server, or third-party products that access data through them.
  2. Abuse or excessively frequent requests to the Services via the API or MCP server may result in the temporary or permanent suspension of your account’s access. The Company, in its sole discretion, will determine abuse or excessive usage. If we need to suspend your account’s access, we will attempt to warn the account owner first. If your usage could or has caused downtime, we may cut off access without prior notice.
  3. You are responsible for keeping API keys and access tokens secret and for everything done with them.

We are not liable or accountable for any third-party integrations, AI assistants or models you connect to the Services.

Disclaimer of Warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or that the Services will be uninterrupted, secure or error-free. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

Liability

We mention liability throughout these Terms but to put it all in one section:

You expressly understand and agree that the Company shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, trading or investment losses, goodwill, use, data or other intangible losses (even if the Company has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the Services; (ii) any investment or trading decision you make, whether or not based on information, research or AI Output in the Services; (iii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Services; (iv) unauthorized access to or alteration of your transmissions or data; (v) statements or conduct of any third party on the service; (vi) or any other matter relating to these Terms or the Services, whether as a breach of contract, tort (including negligence whether active or passive), or any other theory of liability.

To the extent the law does not allow the exclusion above, our total liability to you for any claim relating to the Services is limited to the greater of the amount you paid us for the Services in the 12 months before the claim arose, or US$100.

In other words: choosing to use our Services does mean you are making a bet on us. If the bet does not work out, that’s on you, not us. We do our best to be as safe a bet as possible through careful management of the business and investments in security and infrastructure. If you choose to use our Services, thank you for betting on us.

Indemnification

You agree to defend, indemnify and hold harmless the Company from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your Content, your use of the Services, your investment decisions, or your breach of these Terms or of any law.

Governing Law and Disputes

These Terms are governed by the laws of the United States of America, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Services will be resolved in the courts of the United States, and you consent to their jurisdiction. Before filing a claim, please contact us so we can try to resolve it informally.

General

  1. These Terms, together with our Privacy Policy and any terms we present for a specific offer, are the entire agreement between you and TierOne about the Services.
  2. If any provision of these Terms is found unenforceable, the rest remain in effect.
  3. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
  4. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.

Contact

If you have a question about any of these Terms, please contact us.
